Terms of engagement

What things cost, what we promise, what we refuse to promise, and how either side ends it.

Scope

These are the standard terms Clinovo works under. Anything specifically agreed in writing between us — a proposal, a scope note, an email confirming a change — takes precedence over this page. Clinovo is a trading name of Farzeen Semeer, sole trader, London, United Kingdom.

What things cost

  • Clinic Growth Diagnostic — £295, one-off, paid before work begins. Delivered within five working days of receiving the access listed on the checklist.
  • Implementation — £1,250, one-off, payable when the engagement starts.
  • Ongoing — £1,000 per month, over an initial term of 90 days, then monthly until either side gives 30 days' notice.
  • Advertising budget is separate and is paid by your clinic directly to Google. We never bill you for media, we never mark it up, and we never take a percentage of it.

No VAT is added to any of these figures. Clinovo is not currently VAT registered, so the price shown is the total payable. If Clinovo becomes VAT registered we will tell you in writing before the first invoice that includes it.

The credit, and the refunds

  • The £295 diagnostic fee is credited in full against the implementation fee if you engage Clinovo within 30 days of delivery.
  • If the access checklist shows a diagnostic cannot pay for itself at your clinic, we say so and return the fee before work begins.
  • The written diagnosis is yours to keep either way, whether or not you go further.

What we do not promise

We do not guarantee a number of patients, a ranking, a cost per acquisition or a revenue figure. Anyone in this industry who does is either guessing or breaking advertising rules, and you should treat the promise as a reason to walk away.

Figures published on this website are historical results at a named or anonymised clinic, verified at source, and are not a prediction of what your clinic will achieve. Results depend on your market, your capacity, your prices, your team's responsiveness and your clinical mix, most of which sit with you rather than with us.

Clinovo is a marketing and revenue-operations provider and not a clinical provider. Nothing we produce is clinical advice, triage or a treatment recommendation.

What we need from you

  • Read-only or admin access to the accounts listed on the checklist, granted to a named account rather than shared credentials.
  • Approvals within two working days when we send copy for clinical sign-off. Work stops while approvals are outstanding, and the timeline moves accordingly.
  • Accurate service and price information, and honest capacity figures. A campaign pointed at capacity you do not have wastes your money.
  • A named person who answers enquiries, and agreement on how fast.

Ownership

Your advertising, analytics and Business Profile accounts are yours and stay yours. Campaign structures, tracking configuration, landing pages and copy created for your clinic are licensed to you in perpetuity on payment of the fees due, and survive the end of the engagement. Clinovo keeps ownership of its own underlying templates, frameworks, checklists and methodology, which are not specific to your clinic.

Confidentiality and publicity

We treat your commercial figures as confidential. We do not publish your clinic's name, your figures, your screenshots or a testimonial without your written permission, given specifically for that use. Permission can be withdrawn, and if you withdraw it we take the material down.

Ending it

After the initial 90-day term, either side can end the engagement with 30 days' written notice. Fees already invoiced for work performed remain payable; fees for periods after the notice expires do not. On the last day, our access to your accounts is removed and the personal data we hold for you is deleted or returned, per the data processing page.

Either side may end the engagement immediately if the other materially breaches these terms and does not fix it within 14 days of being told. We may also end it immediately if we are asked to publish something that would breach the CAP Code, ASA guidance or a professional regulator's rules, and the request is not withdrawn.

Payment terms

Invoices are due on receipt unless stated otherwise. Where an invoice is more than 14 days overdue we may pause work after giving you notice. Statutory interest on late commercial payments may be applied.

Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited. Subject to that, Clinovo's total liability arising out of an engagement is limited to the fees paid to Clinovo in the 12 months before the claim, and Clinovo is not liable for loss of profit, loss of anticipated savings or indirect loss. Clinovo is not liable for the acts of the advertising platforms themselves, including account suspensions, policy changes or price changes outside our control.

Law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
